1. Introduction
These Terms and Conditions (“Terms”) govern the use of services provided by Megaleap Insights International Pvt. Ltd. (“we,” “our,” “us”). By engaging our services, the client (“you,” “your”) agrees to these Terms.
2. Scope of Services
- Full-stack web application development (Python Django, React, Next.js)
- Custom e-commerce platform development and integration
- Data analytics, business intelligence, and dashboard solutions
- Agentic AI, LLM application development, and RAG systems
- Technology consulting and project execution
- Technology training and education programs
3. Client Responsibilities
- Provide accurate project requirements, assets, and data.
- Obtain all necessary rights/licenses for content, brand assets, and materials.
- Approve deliverables and provide timely feedback.
- Comply with all applicable regulations and platform policies.
4. Fees and Payment
- Fees are detailed in proposals/invoices.
- Third-party costs (hosting, APIs, cloud services) are payable by the client.
- No refunds for services once delivered or work already completed.
- Late payments may attract penalties and suspension of services.
5. Intellectual Property
Source code, designs, strategies, and training material remain our property until full payment is made. Clients retain ownership of their proprietary brand assets and data.
6. Confidentiality
Both parties agree to maintain confidentiality of sensitive business or technical information shared during the engagement.
7. Performance Disclaimer
We do not guarantee specific results (traffic, conversions, sales, or revenue). Project outcomes depend on multiple factors including market conditions, data quality, third-party platforms, and client decisions.
8. Indemnity
The client agrees to indemnify and hold harmless Megaleap Insights International Pvt. Ltd. from claims, damages, or liabilities arising from unlawful, false, or misleading content or data provided by the client.
9. Limitation of Liability
Our maximum liability is limited to the total fees paid by the client for the relevant service. We are not liable for indirect losses such as loss of profits, goodwill, or business opportunities.
10. Force Majeure
We are not liable for delays or non-performance caused by circumstances beyond our control, including platform outages, internet disruptions, strikes, natural disasters, or government actions.
11. Termination
- Either party may terminate with 15 days' written notice.
- All dues for services already delivered remain payable.
- Immediate termination may occur in case of breach of Terms.
12. Dispute Resolution
Any disputes shall first be resolved through good faith negotiation and mediation. If unresolved, disputes shall be referred to arbitration in Hyderabad, India, under the Arbitration and Conciliation Act, 1996.
13. Governing Law and Jurisdiction
These Terms are governed by Indian law. Hyderabad courts have exclusive jurisdiction.
